Terms of Service

By creating an account or using any ManaEd Ltd product — including ManaEd and ManaEd Foundations — you agree to be bound by these Terms of Service. If you are entering into these Terms on behalf of an institution or organisation, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use our products.

ManaEd Ltd operates two products:

• ManaEd — a simulation-based learning platform for tertiary and vocational educators, available via subscription
• ManaEd Foundations — a simulation-based learning platform for K–12 and special education settings, available via institutional licensing

Access to either product is provided on a software-as-a-service basis. We reserve the right to modify, update, or discontinue features with reasonable notice.

Eligibility: You must be at least 18 years of age to create an account. ManaEd products are intended for educators and institutional users, not for direct use by minors.

Account Responsibility: You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@manaed.app if you suspect unauthorised access.

Accurate Information: You agree to provide accurate information when creating your account and to keep it up to date.

Subscription Plans (ManaEd)

Asimulation runis defined as one student joining an active session. Sessions that remain open without activity are automatically closed after 60 minutes and counted as one run.

Overage Charges: If you exceed the simulation runs included in your plan, additional runs are charged at USD $0.50 per run, billed at the end of your billing cycle.

Promotional Pricing: Introductory offers are offered at ManaEd's discretion and may be withdrawn at any time. Promotional pricing applies only for the stated promotional period, after which standard pricing applies.

Enterprise Licensing: Enterprise plans for ManaEd and Foundations are negotiated separately and governed by a separate agreement.

Billing Cycle: Subscriptions renew automatically each month unless cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.

Price Changes: We will provide at least 30 days' notice of any price changes to active subscribers.

This section applies to ManaEd Training packages bought online at manaed.app (currently AI Essentials). Packages agreed through an enquiry, such as AI in Practice, AI Leadership & Adoption, and face-to-face workshops, are governed by the written proposal or agreement for that engagement, which prevails over this section if they differ.

Seats: Each seat is for one named participant. Live sessions are scheduled with you after purchase. Seats must be used within 12 months of purchase. If we cannot offer you a session time within 60 days of your purchase, you may request a full refund.

Prices: Prices are charged in the currency shown. ManaEd is not currently registered for GST, so no GST is added. If that changes, any tax will be shown at checkout before you pay.

Cancelling a purchase: To cancel, email info@manaed.app from the email address used for your order. Refunds are per seat:

• Before any live session has been scheduled, or more than 7 days before your first scheduled live session: a full refund.
• 7 days or fewer before your first scheduled live session: no refund, but you may transfer the seat to a colleague, or move it once to a later intake, at no charge.
• After your first live session has started: no refund for that seat. If you miss a session, you may join the same session in a later intake, subject to availability.

Substitutions and rescheduling: You may substitute a participant at any time before their first session by letting us know by email. You may move a participant to a later intake once at no charge, if you ask at least 48 hours before the session.

If we cancel or reschedule: If we cancel or reschedule a live session, we will offer you alternative times. If none suit you, we will refund the affected seats in full if no session has been delivered, or otherwise refund the undelivered part of the package.

How refunds are paid: Refunds are made to the original payment method, in the original currency, within 10 business days of being approved. We are not responsible for fees or exchange-rate differences charged by your bank or card provider.

Your consumer rights: Nothing in this section limits rights you have under consumer law that cannot be excluded, including the Consumer Guarantees Act 1993 (New Zealand) and the Australian Consumer Law. If you buy for the purposes of a business in New Zealand, you agree that the Consumer Guarantees Act 1993 does not apply, to the extent permitted by section 43 of that Act.

You agree not to:

• Use the platform for any unlawful purpose or in violation of applicable law
• Attempt to reverse engineer, copy, or replicate the platform or its AI components
• Share account credentials with unauthorised individuals
• Input false, misleading, or harmful content into simulations or student records
• Attempt to circumvent usage metering or billing systems

Educator Responsibility (Foundations): If using ManaEd Foundations, you are responsible for ensuring student data is entered only with appropriate parental or guardian consent, and that your use complies with applicable education privacy laws in your jurisdiction.

Our Property: All software, designs, content, and AI systems are the intellectual property of ManaEd Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the platform in accordance with these Terms.

Your Content: You retain ownership of any content or records you create within the platform. We do not use your content to train AI models without your explicit consent.

The platform is provided "as is" and "as available". ManaEd Ltd makes no warranties regarding uninterrupted operation, fitness for a particular purpose, or accuracy of AI-generated content.

AI-generated content — including simulation dialogue, observation summaries, and reports — should be reviewed by a qualified educator before being relied upon or shared.

To the maximum extent permitted by law, ManaEd Ltd's total liability for any claim is limited to the amount you paid to ManaEd in the 3 months preceding the claim. ManaEd Ltd is not liable for indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or reputational harm.

We may suspend or terminate your account if you breach these Terms, fail to pay outstanding charges, or use the platform in a way that causes harm.

You may terminate your account at any time by contacting legal@manaed.app. Access ceases at the end of the current billing period.

These Terms are governed by the laws of New Zealand. Any disputes shall be resolved in the courts of New Zealand, except where applicable consumer protection law in your jurisdiction requires otherwise.

Material changes will be communicated by email or in-product notice at least 14 days before taking effect. Continued use of the platform after that date constitutes acceptance of the revised Terms.
